Terms & Conditions

These terms govern your use of the Velora website and your engagement with our advisory and facilitation services. Please read them carefully before proceeding. By using this site or engaging our services, you confirm that you have read, understood, and agreed to these terms.

1. Definitions

In these Terms, the following words carry the meanings set out below:

  • "Agreement" — these Terms & Conditions, together with any service proposal or engagement letter agreed between the parties.
  • "Service" — the organisational design workshops, advisory engagements, and facilitation activities described on this website and offered by Velora.
  • "User" — any individual or organisation that visits this website or engages Velora's services.
  • "We / Us / Our" — Velora Co., Ltd., registered and operating in Bangkok, Thailand.
  • "Content" — all text, graphics, data, frameworks, methodologies, deliverables, and other material produced or published by Velora.
  • "Client" — a User who has entered into a formal service engagement with Velora.

2. Acceptance of Terms

By accessing this website or engaging our services, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms in full.

If you are engaging on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not accept these Terms, please do not use this website or proceed with a service engagement.

3. Service Description

Velora provides the following advisory and facilitation services:

  • Role Clarity Workshop — a facilitated session supporting a team in describing responsibilities and addressing areas of overlap.
  • Organisation Design Engagement — a collaborative project to shape team structures and reporting arrangements suited to business direction.
  • People and Culture Advisory — an ongoing advisory relationship supporting leadership on team development and internal communication matters.

Services are delivered primarily in Thailand and are designed for business organisations. Availability is subject to advisor capacity. Velora reserves the right to decline or reschedule engagements where necessary.

4. Your Responsibilities

Acceptable use

You agree to use this website and our services for lawful purposes only. You must not:

  • Use this website in any way that could damage, disable, or impair it.
  • Attempt to gain unauthorised access to any part of the website or related systems.
  • Share false or misleading information when engaging with us.
  • Use our content or deliverables in ways that exceed the licence granted in Section 5.

Client obligations

As a Client, you agree to:

  • Provide accurate information relevant to the engagement scope.
  • Ensure appropriate team members are available for agreed sessions.
  • Give timely feedback on draft materials so that the engagement can progress.
  • Maintain confidentiality of any frameworks or approaches shared by Velora.

5. Intellectual Property

All content on this website — including text, graphics, frameworks, templates, and methodologies — is owned by or licensed to Velora and is protected under Thai intellectual property law.

We grant you a limited, non-exclusive, non-transferable licence to access and use the website for its intended purpose. Deliverables produced under a paid engagement are licensed to the Client for internal organisational use only; they may not be re-sold, sublicensed, or used in a competing advisory capacity without prior written consent.

You may not reproduce, adapt, or distribute Velora's website content or methodologies without written permission.

6. Payment Terms

Fees and currency

Service fees are quoted and invoiced in Thai Baht (฿). Applicable rates are as agreed in the engagement proposal. Fees are subject to change for new engagements; confirmed engagements retain the agreed rate.

Payment schedule

  • Role Clarity Workshop (฿3,900) — full payment due before the session date.
  • Organisation Design Engagement (฿19,500) — 50% on project commencement, 50% on delivery of the final structure outline.
  • People and Culture Advisory (฿32,000/month) — monthly invoicing, payable within 14 days of invoice date.

Refunds and cancellations

  • Workshop cancellations made more than 5 business days before the session date receive a full refund.
  • Cancellations within 5 business days forfeit 50% of the fee.
  • For project-based engagements, fees for work already completed are non-refundable.
  • Monthly advisory contracts may be ended with 30 days' written notice; fees for the notice period remain payable.

Accepted payment methods

Bank transfer to a Velora corporate account (details on invoice). Other arrangements may be agreed in writing.

7. Service-Specific Terms

Scope and changes

Each engagement is delivered within the scope agreed in the proposal or engagement letter. If a Client requests work outside that scope, we will provide a revised proposal. We will not proceed with out-of-scope work without written agreement on terms and fees.

Timelines

Indicative timelines are included in proposals and are subject to Client cooperation, including timely attendance, feedback, and approvals. Delays attributable to the Client may extend timelines and, in extended cases, may affect fees.

Confidentiality

Both parties agree to keep confidential any non-public information shared during an engagement. This obligation survives termination of the agreement for a period of three years.

Deliverables

Deliverables are provided in the formats stated in the proposal (typically PDF documents and written notes). Requests for alternative formats or extensive revisions beyond one round of reasonable amends may be subject to additional fees.

8. Disclaimers

This website and our services are provided in good faith and with reasonable care. However:

  • We do not represent that any specific organisational outcome, performance improvement, or business result will follow from our work.
  • Our services constitute general operational guidance and advisory input, not legal, financial, medical, or regulated professional advice.
  • Website content is for general informational purposes and may not reflect the most current developments at the time of reading.
  • We are not responsible for decisions made by Clients on the basis of our guidance; those decisions remain the Client's own responsibility.

9. Limitation of Liability

To the fullest extent permitted by Thai law, Velora's total liability to you for any claim arising from or relating to these Terms or the services shall not exceed the fees paid by you for the specific service giving rise to the claim in the three months preceding the claim.

We are not liable for indirect, consequential, or incidental losses, including lost profits, lost data, or business interruption, even if we were aware of the possibility of such losses.

Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence.

Force majeure

Neither party is liable for delay or failure to perform caused by circumstances outside their reasonable control, including natural events, government actions, or infrastructure failures, provided the affected party notifies the other promptly.

10. Indemnification

You agree to indemnify and hold Velora, its advisors, and staff harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your use of this website or services in a way that violates these Terms, any applicable law, or the rights of a third party.

11. Termination

Either party may end an engagement by providing written notice as specified in the payment terms for each service type (see Section 6). We reserve the right to suspend or end an engagement immediately if:

  • Payment is significantly overdue and not resolved within 14 days of notice.
  • The Client engages in conduct that makes it impractical or unreasonable to continue the engagement.
  • Continuing would require us to act in a way that conflicts with applicable law or professional standards.

Upon termination, the Client's licence to use any deliverables already provided remains in place, subject to payment of all outstanding fees. Sections 5, 7 (Confidentiality), 9, 10, and 12 survive termination.

12. Dispute Resolution

These Terms are governed by the laws of the Kingdom of Thailand. Any dispute shall first be referred to good-faith negotiation between the parties. If not resolved within 30 days, either party may refer the matter to mediation through an agreed mediator in Bangkok. If mediation does not resolve the matter, the dispute shall be subject to the exclusive jurisdiction of the Thai courts.

13. General Provisions

  • Entire agreement — these Terms, together with any engagement proposal, constitute the complete agreement between us on the matters covered.
  • Severability — if any provision is found unenforceable, the remainder of the Terms continues in full effect.
  • Waiver — a failure to enforce any provision on one occasion does not waive the right to enforce it on another.
  • Assignment — you may not assign your rights or obligations under these Terms without our written consent. We may assign our rights as part of a business restructuring.
  • Notices — formal notices should be sent to the addresses set out in Section 15. Email is acceptable for day-to-day communication.

14. Changes to Terms

We may update these Terms from time to time. When we do, the revised version will be posted on this page with an updated effective date. For material changes, we will provide a notice on our website. Continued use of our website or services after the effective date of any update indicates acceptance of the revised Terms. Active engagements will be governed by the Terms in place at the time the engagement commenced unless otherwise agreed in writing.
